Terms of Service

These Terms of Service ("Terms") are an agreement between you and uConnect Technologies PVT LTD ("uConnect", "we", "us", or "our"), the company behind Proposala ("the Service", available at proposala.com). By creating an account, buying credits, or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.

1. What Proposala does

Proposala is an online tool that helps freelancers and agencies write better proposals for platforms like Upwork. You paste a job post, and the Service gives you a job score, suggests which of your past projects to use, and produces proposal drafts that you can edit. Proposala uses artificial intelligence to do this.

You are responsible for reviewing and editing every draft before you send it. Proposala produces suggestions, not finished work. We do not guarantee that any proposal will win a job, get a reply, or produce any specific result.

2. Who can use Proposala

You must be at least 18 years old and able to enter into a contract. At the moment, access is invite based, so you may need an invite link to create an account. You agree to give accurate information when you sign up.

3. Your account

You are responsible for keeping your login details safe and for everything that happens under your account. An account can belong to a workspace that is shared with your team. If you add team members, you are responsible for their use of the Service. Tell us at amjad@uconnect.pk if you think your account has been used without your permission.

4. Acceptable use

You agree not to:

• Use the Service for anything illegal or harmful.
• Break the rules of Upwork or any other platform where you use the proposals.
• Upload content you do not have the right to use.
• Try to copy, resell, or reverse engineer the Service.
• Use the Service to send spam or to mislead clients.
• Try to break, overload, or get unauthorized access to the Service.

We may suspend or close accounts that break these rules.

5. Your content

You keep ownership of the content you put into Proposala, such as your profile, past projects, and the job posts you paste. You give us permission to store and process this content so we can provide the Service. To create scores and drafts, we send your content to trusted third party AI providers that process it on our behalf. See our Privacy Policy for details.

You are responsible for the content you upload and for the proposals you send. Make sure you have the right to use any material you add.

6. AI credits and payments

Proposala runs on credits. Credits are sold as one time packs (for example Starter, Growth, and Scale). Credits are not a subscription. They are added to your workspace and shared by your team. Each AI action, such as generating a proposal, rewriting a section, or generating templates, spends a set number of credits. Some actions are free.

Payments are processed by Paddle.com, our authorized reseller and Merchant of Record. When you buy credits, Paddle handles the payment, billing, and any sales tax, and your purchase is also subject to Paddle's buyer terms. Prices are shown at checkout. We may change prices and pack sizes at any time, but changes do not affect credits you have already bought.

Credits expire 30 days after the date of purchase. Any credits left in your workspace after 30 days are removed and cannot be used. Credits have no cash value and cannot be exchanged for money. All purchases are final. See the Refund Policy below.

7. Refund Policy

All sales are final. Credits are a digital product that is delivered to your workspace right away, so we do not offer refunds. Once a purchase is complete, the amount you paid is non-refundable, whether or not you use the credits, and credits that expire after 30 days are not refunded. Please make sure you choose the right pack before you buy.

If you think a charge was made in error, for example you were billed more than once for the same order, contact us at amjad@uconnect.pk and we will look into it. Because Paddle is our Merchant of Record, you can also contact Paddle about a payment, and any rights you have under the law that applies to you still stand.

8. Service availability and changes

We work to keep Proposala available, but we do not promise that it will always be online or free of errors. We may add, change, or remove features at any time. We may also carry out maintenance that makes the Service unavailable for a while. AI providers and other services we rely on may also affect availability.

9. No professional advice and no guaranteed results

Proposala is a writing and decision support tool. It does not give legal, financial, or professional advice. Job scores and drafts are suggestions based on the information available. You decide which jobs to apply to and what to send.

10. Disclaimers and limitation of liability

The Service is provided "as is" and "as available", without warranties of any kind, to the extent allowed by law. To the maximum extent allowed by law, uConnect Technologies PVT LTD is not liable for any indirect, incidental, or consequential loss, including lost profits, lost jobs, or lost data, arising from your use of the Service. Our total liability for any claim is limited to the amount you paid us for credits in the three months before the claim.

11. Termination

You can stop using the Service at any time. We may suspend or close your account if you break these Terms or use the Service in a way that could harm us or others. If we close your account for a serious breach, you may lose access to any unused credits.

12. Changes to these Terms

We may update these Terms from time to time. When we do, we will change the "Last updated" date at the top. If the changes are important, we will try to tell you. Using the Service after a change means you accept the new Terms.

13. Governing law

These Terms are governed by the laws of Pakistan. Any dispute will be handled by the courts of Gilgit, Pakistan.
